Terms of Service

You must be at least 16 years old and capable of entering into a legally binding agreement to use Tracey Digital Technologies's services at traceyformulas.com ("Service"). By accessing or using the Service, you represent that you meet these requirements.

Tracey Digital Technologies provides Tracey, a Microsoft Excel task-pane add-in that traces spreadsheet formulas in both directions, precedents and dependents, as a visual tree you can navigate from the keyboard. The Service includes the Tracey add-in software, this website, and any related APIs, documentation, or support.

Subject to your compliance with these Terms, Tracey Digital Technologies grants you a non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business purposes during the period in which you have an active subscription or active free trial. This licence does not include the right to sublicence, distribute, modify, reverse-engineer, or create derivative works from any part of the Service.

New users receive 7 days of full access to the Service at no charge. No credit card is required to start a trial. At the end of the trial period, access to the add-in will be suspended unless you have activated a paid subscription. Trial usage is limited to one trial per Microsoft account; creating multiple accounts to circumvent this limit is prohibited.

Individual subscriptions are billed in advance on a monthly or annual cycle. Team plans are billed annually in advance per seat, with a minimum of 2 seats, and the total charge is the seat price multiplied by the number of seats purchased. All fees are charged in USD. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account dashboard; your access continues until the end of the current paid period.

Tracey Digital Technologiesreserves the right to change subscription prices with at least 30 days' written notice. Price changes take effect at your next renewal. Taxes (VAT, GST, or equivalent) may be added where required by applicable law and will be shown at checkout.

If you are not satisfied with the Service, contact us within 7 days of your first paid charge and we will issue a full refund. This applies to all plans, individual and Team alike. Refund requests made after 7 days are evaluated on a case-by-case basis and are not guaranteed. Refunds are not available for renewals where notice of cancellation was not provided before the renewal date.

A Team plan lets one person buy a pool of seats and invite others to use them. The person who purchases the plan is the team administrator, and is the party contracting with Tracey Digital Technologies for that plan. Buying a Team plan does not automatically assign a seat to the administrator; they may invite themselves if they want one.

Seats work as a pool. Sending an invitation reserves a seat, and removing a member or revoking a pending invitation releases it. You cannot invite more people than you have seats available. Invitations expire after 7 days, and never last beyond the end of the team's current paid period.

The team administrator controls access to the team. They can see the email addresses of team members and of anyone with a pending invitation, and they can remove any member at any time, which ends that member's access to the Service through that team. If you join a team, you should understand that your continued access depends on decisions made by that administrator.

If a Team plan is cancelled, lapses, or is not renewed, access for all seat holders on that team ends at the end of the current paid period. Seat holders who want continued access after that point will need their own subscription.

You agree not to:

• Use the Service to violate any applicable law or regulation.
• Attempt to reverse-engineer, decompile, or extract source code from the add-in or its APIs.
• Use automated tools to scrape, crawl, or probe the Service beyond normal usage.
• Resell, sublicence, or otherwise commercialise the Service without written permission.
• Introduce malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to the Service or its infrastructure.

Tracey Digital Technologies reserves the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this section.

The Service, including all software, design, trademarks, and content, is owned by Tracey Digital Technologies or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights in Tracey Digital Technologies's intellectual property beyond the limited licence described in Section 3.

Your spreadsheet files and formulas remain entirely your property.Tracey Digital Technologies does not claim any rights over your data.

Where you obtain the Tracey add-in through Microsoft AppSource or another Microsoft distribution channel, Microsoft's own terms and policies apply to that acquisition in addition to these Terms. These Terms serve as the end user licence agreement for the Tracey add-in. Microsoft is not a party to these Terms and is not responsible for the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in that policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRACEY DIGITAL TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. TRACEY DIGITAL TECHNOLOGIES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRACEY DIGITAL TECHNOLOGIES'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50. IN NO EVENT SHALL TRACEY DIGITAL TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Either party may terminate your account at any time. You may terminate by cancelling your subscription and deleting your account.Tracey Digital Technologies may terminate or suspend your access immediately, without notice, for violations of these Terms or for any other reason at our sole discretion. Upon termination, your licence to use the Service ends immediately and your access to the add-in will be suspended.

Where the terminated account is a team administrator, access for all seat holders on that team ends at the same time. Where we terminate a paid account without cause, we will refund the unused portion of the current paid period.

Tracey Digital Technologies may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
